With a deal valued at up to £21.3 million, ADF aims to enhance its service offerings and diversify its customer base.
The Bridgend-based company, ADF, has affirmed its strategic acquisition of Autorak Portable Roadways, marking a decisive move to expand its services within the film and TV sectors. The acquisition, valued at a substantial £21.3 million, is set to be financed partially through a conditionally raised £10 million via oversubscribed new shares. Additionally, a retail share offer is expected to generate a further £500,000, with the shares slated for AIM admission next month.
In partnering with Autorak, ADF is poised to offer a more diverse array of products and services. This alignment is expected to drive significant revenue growth, positioning ADF as a leading one-stop provider in the industry, catering to a varied clientele.
A further cash consideration of £4.2 million will be paid in equal instalments over the next three years, subject to financial performance, with an added earnout potential of up to £4 million by 2028.

This strategic move may inspire similar consolidations within the industry, as companies seek to expand their competencies and improve service delivery to a competitive marketplace.
As ADF continues to integrate Autorak into its operational framework, the focus will be on harmonising operations and leveraging synergies to maximise efficiencies and deliver superior service.
